Terms of Service
These Terms of Service ("Terms") govern your access to and use of File Upload App (the "Service"). By using the Service you agree to these Terms.
1. The Service
File Upload App lets you create branded upload links that route files uploaded by your clients or visitors to third-party destinations you connect (such as Slack, Google Drive, and Dropbox).
2. Accounts
- You must be at least 16 years old (or the age of majority in your jurisdiction) to create an account.
- You are responsible for keeping your credentials confidential and for all activity under your account.
- You must provide accurate information and keep it up to date.
3. Plans, billing, and refunds
- Paid plans are billed in advance on a monthly or annual basis and renew automatically until cancelled.
- You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period.
- Except where required by law, fees are non-refundable.
- We may change pricing with at least 30 days' notice before your next renewal.
4. Your content
You retain ownership of all files, logos, instructions, and other content you or your end users upload through the Service ("Your Content"). You grant us a limited, worldwide, royalty-free license to host, store, process, and transmit Your Content solely as necessary to provide the Service.
You represent that you have the rights to Your Content and that it does not infringe anyone else's rights or violate any law.
5. Acceptable use
You may not use the Service to:
- Upload, store, or transmit unlawful, infringing, harmful, harassing, deceptive, or malicious content (including malware).
- Collect or process sensitive information (such as government-issued IDs, payment card numbers, or health records) unless you have a lawful basis and your own appropriate safeguards.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure.
- Resell, sublicense, or white-label the Service except as expressly permitted by your plan.
- Send unsolicited bulk communications or otherwise engage in spam or abuse.
We may suspend or terminate accounts that violate these rules.
6. Third-party services
The Service integrates with third-party platforms (Slack, Google, Dropbox, and others). Your use of those platforms is governed by their own terms and privacy policies. We are not responsible for third-party services.
7. Intellectual property
The Service, including its software, design, and trademarks, is owned by us and our licensors and is protected by intellectual property laws. Nothing in these Terms transfers any of those rights to you.
8. Termination
You may stop using the Service at any time. We may suspend or terminate your access for any breach of these Terms or for any conduct we reasonably believe is harmful to other users or to us. On termination, your right to use the Service ends immediately.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to defend and indemnify us against any claim arising from your use of the Service, Your Content, or your breach of these Terms.
12. Changes to the Service or Terms
We may modify the Service or these Terms from time to time. If we make material changes to the Terms, we will notify you in advance. Continued use of the Service after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state and federal courts located in Delaware, unless a different forum is required by applicable law.
